Terms & Conditions

1. Introduction
Welcome to Hostit.co.in, owned and operated by Tathagata Infotech Pvt Ltd (“we”, “us”, “our”). By accessing or purchasing our services, you agree to abide by these Terms and Conditions.
2. Scope of Services
We provide Website Design & Development and Digital Marketing services customised to each client’s requirements as defined in a mutually agreed Scope of Work (SOW).
3. Payments
- All prices are quoted in Indian Rupees (₹) and subject to applicable GST.
- Projects commence only after receipt of the agreed advance or full payment as per proposal.
- Delays in payment may suspend or terminate ongoing work and affect delivery timelines.
- Third-party advertising budgets (Google Ads, Meta, etc.) are billed separately and payable in advance.
3A. International Payments & Currency Conversion
- The Company accepts payments from international clients in either Indian Rupees (INR) or United States Dollars (USD), depending on the mutually agreed payment method.
- All international payments shall be processed through RBI-authorised gateways such as Razorpay, PayPal, Stripe, or via SWIFT/TT wire transfer into the Company’s designated current account.
- Payments received in USD or other foreign currencies will be converted into INR by the receiving bank at the prevailing exchange rate on the date of settlement. The rate applied by the bank shall be final and binding on both parties.
- Any bank transfer charges, payment gateway fees, or currency conversion costs incurred during international transactions shall be borne by the Client unless otherwise agreed in writing.
- Invoices for international clients may be raised in USD (with INR equivalent indicated) and shall comply with applicable provisions of the Foreign Exchange Management Act (FEMA) and the Goods and Services Tax (GST) Act as an Export of Service.
- The Client agrees that cross-border payment timelines may vary due to banking procedures, compliance checks, or intermediary banks, and the Company shall not be liable for delays caused by such external factors.
4. Client Responsibilities
- The Client shall provide all required materials — text, images, brand guidelines, credentials, and approvals — within the mutually agreed timeline or within 7 working days of the Company’s written request, whichever is earlier.
- Delays in providing feedback, approvals, or content automatically extend the project delivery timeline by the duration of such delay. Committed delivery dates shall no longer be binding.
- If the Client remains unresponsive for more than 30 calendar days, the project shall be considered temporarily closed. Reactivation may incur a reactivation fee of up to 25 % of the project cost, subject to resource availability.
- After 60 days of inactivity with no written communication, the project shall be deemed cancelled. Any payments made shall be forfeited, and the Company shall not be obliged to retain any files or data beyond that period.
- Communication Protocol: WhatsApp or similar instant-messaging platforms shall be used only for informational or quick communication. All official correspondence, approvals, content submissions, or feedback requiring accountability or future reference must be sent via email to support@hostit.co.in. The Company shall not be responsible for missed instructions, content, or approvals shared solely through WhatsApp or other informal channels.
ARTICLE 5: INTELLECTUAL PROPERTY AND SOURCE CODE OWNERSHIP
5.1 Definitions
- Work Product: All deliverables, designs, documentation, and the final deployed website or application.
- Source Code: Human-readable code written by the Developer forming part of the Work Product.
- Basic Fee: Standard compensation for delivery of the Work Product.
- IP Transfer Fee: Additional premium charge for formal assignment of Intellectual Property Rights.
5.2 Default Rights (Upon Payment of Basic Fee)
- The Developer retains ownership of all Intellectual Property Rights, including the Source Code.
- The Client receives a non-exclusive, perpetual, royalty-free license to use the final Work Product for internal business purposes.
- This license does not include the right to modify, decompile, reverse-engineer, sublicense, or redistribute the Source Code.
5.3 Transfer of Intellectual Property Rights (Upon Payment of IP Transfer Fee)
- Upon payment of the IP Transfer Fee, the Developer assigns all Intellectual Property Rights in the Custom Source Code to the Client.
- The Developer delivers a complete copy of the Custom Source Code and relevant documentation in an agreed format.
- The Developer retains a non-exclusive license to reuse generic, non-client-specific code and techniques.
5.4 Exclusions
- Third-Party Materials (open-source libraries, licensed assets, APIs) remain the property of their respective owners.
- Developer Tools and reusable utilities created before this Agreement are excluded from transfer.
5.5 Indemnification
The Developer warrants that the Custom Source Code is original and indemnifies the Client against any claims of infringement prior to transfer.
6. Confidentiality
Both parties shall maintain confidentiality of all shared information and shall not disclose it to any third party except as required by law.
7. Limitation of Liability
Tathagata Infotech Pvt Ltd shall not be liable for indirect or consequential losses, including loss of profits or data. The maximum liability shall not exceed the amount paid for the specific project.
8. Termination
The Company may suspend or terminate services in the event of non-payment, misuse of content, breach of terms, or legal violations.
9. Governing Law & Jurisdiction
These Terms are governed by the laws of India and are subject to the exclusive jurisdiction of the courts of Chennai, Tamil Nadu.
